Plain English, on purpose. This is still a real agreement between you and Vin2 Software, LLC ("VIN2," "we," "us") — we just wrote it so you can read it without a law degree. Using vin2.com or our platform means you're okay with what's below.

VIN2 is a neutral platform that connects importers, dealers, exporters, registered importers (RIs), and the others involved in bringing a vehicle into the U.S. We're a conduit — we are not a registered importer and we never rank or favor anyone.

1. Using VIN2

We give you a limited, personal, non-transferable license to use the platform for your own import work, as long as you follow these terms.

Keep your details accurate and up to date. If the info you give us is false or incomplete, we can suspend or close your access. You're responsible for what happens under your account, so keep your login to yourself.

2. We connect — we don't run your deal

VIN2 helps you and other users exchange information efficiently. The actual obligations and liabilities between you and the people you work with stay between you. We're an independent provider, not your agent or partner, and we don't sign anything on your behalf.

3. No guarantees

The platform and services are provided "as is" and "as available," without warranties of any kind. We don't promise the site will always be available, error-free, or that the results will meet your expectations.

Importantly: we can't and don't guarantee that any compliance package or application — including to NHTSA — will be accepted or approved. That's up to the authorities, not us.

4. Fees and payment

Getting matched on vin2.com is free. Where paid services apply, fees are generally charged per vehicle and are exclusive of taxes and government fees, which are on you.

Payments may be processed through Stripe or Mercury Bank. You authorize us (or our processor) to charge your card for fees you incur, and you can update your card in your account.

If an account isn't kept current, we may pause services until it is.

5. Play fair (acceptable use)

Don't probe, hack, reverse-engineer, or get around our security. Don't scrape or copy the platform, disrupt how it runs, or resell/redistribute it.

Don't impersonate anyone, spoof data, or use VIN2 to send spam or anything illegal, infringing, or harmful. Don't harvest other users' information or build a competing database from ours.

Comply with the laws that apply to you — including anti-spam laws like the TCPA, CAN-SPAM, and CASL. Break these and we can suspend or close your access without notice.

6. Your content and our property

What you upload stays yours. The platform, software, website, and everything in it (other than your content) belongs to VIN2 or its licensors, and is protected by copyright and other laws — don't copy, resell, or strip notices from it.

If you send us feedback or ideas, we're free to use them to improve VIN2, with no obligation to you. VIN2's name, logos, and marks are ours — using the site doesn't give you a license to them.

7. Security

We use commercially reasonable measures to protect the service and your data, but we're not responsible for things outside our control like transmission errors or unauthorized third-party access. Keep your own devices and access secure on your end.

8. Limits on our liability

To the fullest extent the law allows, we're not liable for indirect, incidental, special, punitive, or consequential damages — lost profits, lost data, business interruption, and the like — arising from your use of (or inability to use) the platform.

Our total maximum liability to you for anything related to these terms is limited to ten U.S. dollars ($10). These limits survive even if your account or these terms end.

9. You cover us (indemnification)

If your use of VIN2 leads to a claim, loss, or expense against us, you agree to cover it — except where it's caused by our own fraud or willful misconduct.

10. Ending things

Either of us can end this agreement with 30 days' written notice. When it ends, we stop providing services and you stop using the platform. We can also suspend access right away if you violate these terms.

11. Changes to these terms

We may update these terms from time to time. If we do, we'll give you a chance to accept the changes — continuing to use the platform means you accept them. If you don't, you can stop using it.

12. The legal fine print we still need

Governing law: these terms are governed by the laws of the State of Delaware, and the Delaware courts have exclusive jurisdiction.

If any part of these terms is found unenforceable, the rest still stands. These terms are the whole agreement between us and replace any earlier understandings. Section headings are just for convenience. The parts meant to survive (like the liability limits, disclaimers, and IP terms) survive after the agreement ends.
